01 This agreement
This User Agreement is between Bawnseye Studios ("Bawnseye", "we", "us") and anyone who uses the Café or our website, or who authorizes us to manage their social media accounts with it ("you"). By using the website, being given access to the Café, or connecting an account for us to manage, you agree to these terms and to our Privacy Policy.
If you're a client with a separate signed agreement with Bawnseye, that agreement controls wherever it conflicts with these terms.
02 Who may use the Café
- Only Bawnseye Studios staff and the people the studio has personally invited ("authorized users") may use the Café. Authorized users sign in with an email address the studio has approved.
- Clients who are invited see and manage only their own workspace: their posts, schedule, stats, comments, auto-reply settings and connected accounts. They can't see other clients, and can't change the Café itself, its settings or its keys.
- Access is personal. Authorized users may not share their access, devices or credentials, or let anyone else use the Café.
- Authorized users must keep their email account and devices secure, and tell the studio right away if they think access has been misused.
- Bawnseye can change or remove anyone's access at any time. Access ends automatically when someone stops working with or for the studio.
03 What clients authorize
When a client connects a social media account for us to manage, the client authorizes Bawnseye to use the Café to:
- publish and schedule videos, Reels, Shorts and posts to that account, and send drafts to TikTok;
- read the account's statistics, such as views, likes and follower counts;
- read comments on the account's posts, reply to them, hide them, or mark them as handled;
- draft titles, captions, tags and replies in the account's voice with AI assistance; and
- turn on smart auto-reply for the account, only if the client has agreed to it.
Connections are made through each platform's own official sign-in. We never ask for or store a client's passwords. The client confirms that they own the account, or are allowed to give us this access. The client can take back this authorization at any time by telling us or by removing our access in the platform's settings.
We post content the client has approved, following whatever approval process we agree on together. We don't post, reply or turn on new features on a client's accounts outside that agreement.
A client who signs in can do these things on their own accounts themselves. Posts, replies, scheduling and settings a client makes in their own workspace are the client's own actions, and the client is responsible for them.
04 Content & ownership
- The client owns their content. That includes their videos, images, captions, brand names and logos, and their accounts.
- The client gives Bawnseye a limited, non-exclusive permission to store, edit, format and publish that content to the client's own accounts, only for the work we're doing together.
- The client is responsible for having the rights to what they give us, including music, footage and people who appear in it. Bawnseye isn't responsible for claims about content the client supplied.
- Work Bawnseye creates for a client is owned as set out in that client's service agreement.
05 AI-assisted content
The Café uses Google's Gemini AI to suggest titles, captions, tags and comment replies. AI can be wrong, off-tone or repetitive, so suggestions are drafts that a person reviews before posting. The one exception is smart auto-reply, which is off by default. When a client turns it on, or agrees to us turning it on, it replies to friendly comments on its own, and "Reply to all" can queue waiting comments for the same treatment. It's built to skip offensive comments, spam, tag-only comments and anything a real person should answer, and it has daily and hourly limits. Even so, an automatic reply might occasionally miss the mark. We'll fix or remove any reply the client is unhappy with, and turn the feature off whenever the client asks.
06 Platform rules
Everything the Café does goes through official platform APIs and must follow each platform's rules, including the YouTube Terms of Service, the YouTube API Services Terms, Meta Platform Terms, Instagram Terms of Use and the TikTok Terms of Service. By connecting an account, the client also agrees to the terms of that platform.
Platforms change their features, limits and policies, and sometimes go down. Bawnseye isn't responsible for outages, removed features, changed reach, or actions a platform takes against an account, unless they were caused by our breach of these terms.
07 Acceptable use
Authorized users may not use the Café to:
- post to, read or manage any account without the owner's authorization;
- send spam, buy or fake engagement, or mislead people about who is posting;
- post content that is illegal, hateful, harassing, or that infringes someone else's rights;
- collect or profile the people who comment, or use their information for anything beyond managing that client's account;
- get around platform limits, scrape platforms, or use the APIs in ways their terms don't allow;
- copy, share, sell or reverse-engineer the Café, or share its access tokens or keys.
08 Privacy & confidentiality
How we handle information is explained in our Privacy Policy. Authorized users must keep each client's information confidential, use it only for that client's work, and never mix one client's data with another's.
09 The Café is ours
The Café, including its software, design and name, belongs to Bawnseye Studios. Nothing in these terms gives anyone else a license to it. The website's design, text and artwork also belong to Bawnseye Studios, except client names and logos, which belong to their owners.
10 Ending access
- A client can stop us managing an account at any time by telling us, or by removing our access in the platform's settings.
- A client's sign-in to the Café ends when our work together ends, or earlier if the client asks.
- When a client leaves, we disconnect their accounts, cancel any scheduled posts, and remove and delete their data as described in our Privacy Policy.
- Posts already published stay on the platforms unless the client deletes them.
- We may suspend the Café's activity on an account if we believe it's needed to protect the account, the client, or to follow the law or platform rules.
11 Disclaimers
The Café and the website are provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including that they'll be uninterrupted or error-free, or that any post will reach a certain audience or produce certain results. Marketing results are never guaranteed.
12 Limitation of liability
To the fullest extent the law allows, Bawnseye Studios won't be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, followers or data, arising from the Café or the website. Our total liability for any claim about them is limited to the amount the client paid us in the three months before the claim. Some places don't allow these limits, so they may not apply to you.
13 General terms
- Changes. We may update these terms. We'll change the date at the top, and tell clients directly about significant changes before they take effect.
- Governing law. These terms are governed by the laws of the state where Bawnseye Studios is based, and by the laws of the United States where they apply.
- Severability. If part of these terms can't be enforced, the rest still applies.
- No waiver. If we don't enforce a term right away, we can still enforce it later.
- Whole agreement. These terms, our Privacy Policy and any signed service agreement are the whole agreement about the Café.
